These Terms of Use (“Terms”) govern your use of the Microsoft Teams application (“the Application”) provided by ProHabits, a people activation company with smart nudge technology. By accessing or using the Application, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Application.
1. License and Usage

non-transferable, revocable license to use the Application solely for
your internal business purposes.
1.2 Restrictions: You may not modify, reproduce, distribute, sell, lease, rent, sublicense, or create derivative works of the Application. You may not reverse engineer, decompile, or disassemble the Application or attempt to gain unauthorized access to any portion of the Application.
1.3 Updates: ProHabits may release updates or new versions of the Application from time to time. You agree to install and use the latest version of the Application to ensure optimal functionality and security.
2. Data Privacy
2.1 Collection and Use of Data: The Application may collect certain data
from your usage, including but not limited to user activity,
preferences, and performance metrics. ProHabits uses this data to
provide, improve, and personalize the Application’s features and
services. All data collected is handled in accordance with ProHabits’
Privacy Policy.
2.2 Anonymized and Aggregated Data: ProHabits may aggregate and anonymize the data collected to generate insights and reports. These insights and reports may be used for research, analytics, or benchmarking purposes, provided they do not personally identify any individual or organization.
3. Intellectual Property
3.1 Ownership: ProHabits retains all rights, title, and interest in and
to the Application, including all intellectual property rights. These
Terms do not grant you any rights to the Application except as expressly
stated herein.
3.2 Feedback: If you provide ProHabits with any suggestions, feedback, or ideas regarding the Application, you hereby grant ProHabits a perpetual, irrevocable, worldwide, royalty-free license to use, modify, distribute, and incorporate such feedback into the Application or any other ProHabits products or services without any obligation to compensate you.
4. Disclaimer of Warranty The Application is provided on an “as is” and “as available” basis, without any warranties or conditions, express or implied. ProHabits does not warrant that the Application will be uninterrupted, error-free, or secure. You acknowledge and agree that your use of the Application is at your sole risk.
5. Limitation of Liability To the maximum extent permitted by applicable law, ProHabits and its affiliates, officers, directors, employees, and agents shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, data, or other intangible losses, arising out of or in connection with your use or inability to use the Application.
6. Termination ProHabits may terminate or suspend your access to the Application at any time, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.
7. Governing Law and Jurisdiction These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where ProHabits is headquartered. Any legal action or proceeding arising out of or relating to these Terms shall be exclusively brought in the competent courts of that jurisdiction.
8. Entire Agreement (continued) These Terms constitute the entire agreement between you and ProHabits regarding your use of the Application and supersede all prior and contemporaneous agreements, understandings, or representations, whether oral or written, relating to the Application.
9. Severability If any provision of these Terms is found to be invalid or unenforceable, that provision shall be deemed severable from the remaining provisions, which shall remain in full force and effect.
10. Waiver The failure of ProHabits to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by ProHabits in writing.
11. Modifications ProHabits reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, ProHabits will provide notice through the Application or by other means. Your continued use of the Application following the posting of any changes to these Terms constitutes acceptance of those changes.
